1. GENERAL PROVISIONS
1.1. This document is an official public offer (hereinafter referred to as the "Offer") by the Self-Employed Individual Yulia Alekseevna Timofeeva (Taxpayer Identification Number: 331621330233) (hereinafter referred to as the "Executor") to enter into a contract for the provision of services of an English language speaking club (hereinafter referred to as the "Services") on the terms set out below.
1.2. In accordance with paragraph 2 of Article 437 of the Civil Code of the Russian Federation (CC RF), this document constitutes a public offer. Upon acceptance of the terms set out below and payment for the Services, the individual making the acceptance of this Offer becomes the Customer (hereinafter referred to as the "Customer"). Acceptance of the Offer is equivalent to entering into a contract on the terms set out in the Offer (hereinafter referred to as the "Contract").
1.3. The Offer is posted online at: https://esc-moscow.ru and is valid indefinitely.
1.4. The Customer and the Executor are collectively referred to as the "Parties", and individually as a "Party".
2. SUBJECT OF THE CONTRACT
2.1. The Executor provides, and the Customer pays for, the Services related to the organization and conduct of sessions (meetings) of the English language speaking club in the format chosen by the Customer, in accordance with the current schedule published on the Executor's Website at https://esc-moscow.ru.
2.2. The topic, duration, schedule, and format of each club session are determined by the Executor and communicated to the Customers on the Website.
3. PROCEDURE FOR ACCEPTANCE OF THE OFFER AND CONCLUSION OF THE CONTRACT
3.1. Acceptance of this Offer and conclusion of the Contract is deemed to occur upon full payment by the Customer for the selected Service (single attendance of a club session) by any of the methods offered by the Executor.
3.2. By performing the actions to accept the Offer, the Customer guarantees that they have read, agree with, and fully and unconditionally accept all the terms of the Offer as set out in the text of this Offer.
3.3. Making payment for the Services is considered full and unconditional acceptance of the terms of this Offer and is equivalent to concluding a contract in written form (Clause 3, Article 438 of the Civil Code of the Russian Federation).
4. RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1. The Executor undertakes to:
4.1.1. Organize and conduct the English speaking club sessions in a quality manner and in accordance with the announced format and duration, following the schedule posted on the Executor's Website at https://esc-moscow.ru.
4.1.2. Notify the Customer in advance of any changes to the schedule, cancellation, or postponement of a session, using the contact information provided by the Customer.
4.1.3. Maintain the confidentiality of the Customer's personal data in accordance with the current legislation of the Russian Federation.
4.2. The Executor has the right to:
4.2.1. Independently determine the methods, forms, and content of the provision of Services.
4.2.2. Refuse to provide Services to the Customer in the event of a violation of the rules of conduct during a session, display of disrespect toward other participants or the host, as well as in other cases that impede the normal conduct of the session.
4.2.3. Make changes to the terms of this Offer. Changes take effect from the moment they are published on the Website.
4.3. The Customer undertakes to:
4.3.1. Independently and promptly familiarize themselves with the current terms of the Offer, the schedule, and information on the Website.
4.3.2. Provide accurate contact information (name, email address, phone number, or other means of communication).
4.3.3. Pay for the selected Service in the manner and within the time period established by this Offer.
4.3.4. Comply with the rules of conduct during the session, respecting other participants and the host.
4.4. The Customer has the right to:
4.4.1. Receive information about the schedule and format of upcoming sessions.
4.4.2. Demand that the Executor provide the Services in accordance with the terms of this Offer.
5. COST OF SERVICES AND PAYMENT PROCEDURE
5.1. The cost of the Services (single attendance) is indicated on the Executor's Website and may be unilaterally changed by the Executor. New prices apply to payments made after their publication.
5.2. Payment is made by the Customer in full on a 100% prepayment basis by bank transfer to the Executor's account or in cash.
5.3. Payment for the Service by the Customer constitutes their full agreement with the terms of this Offer.
6. LIABILITY OF THE PARTIES AND DISPUTE RESOLUTION PROCEDURE
6.1. For non-performance or improper performance of obligations under the Contract, the Parties shall be liable in accordance with the current legislation of the Russian Federation.
6.2. Any disputes and disagreements shall be resolved by the Parties through negotiations. If no agreement is reached, the dispute shall be submitted for consideration to the court at the Executor's place of residence.
6.3. The Executor shall not be liable for the impossibility of providing Services due to reasons beyond the Executor's control (force majeure events, internet or equipment failures, etc.).
7. OTHER TERMS
7.1. The fact of payment for the Services by the Customer confirms their consent to the processing by the Executor of their personal data (name, contact information) provided during registration, for the purpose of performing this Contract (communication, information).
7.2. In all other respects not provided for by this Offer, the Parties shall be governed by the current legislation of the Russian Federation.
7.3. This Offer comes into force from the moment it is posted on the Website and remains valid until revoked by the Executor.
